VistaDeep — Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of VistaDeep's supply chain intelligence platform, software, websites, APIs, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

2. Description of Services

VistaDeep provides a technology platform for supply chain intelligence, including but not limited to:

• Multi-tier supply network mapping and visualization
• Real-time event and disruption monitoring
• Automated event-to-network linkage
• Risk assessment, impact propagation, and scenario simulation
• Supply chain predictions and forecasting models
• AI-powered mitigation guidance via VistaDeep's proprietary Morvela™ intelligence layer
• Collaboration tools across internal teams and multi-enterprise partners
• Dashboards, reporting, and analytics
• Integrations with third-party systems and data sources

The Services may evolve over time as VistaDeep continues to improve and expand its capabilities.

3. Account Registration

To use the Services, you may be required to create an account. You agree to:

• Provide accurate and current information
• Maintain the security of your credentials
• Accept responsibility for all activity under your account
• Notify us immediately of unauthorized access or security issues

VistaDeep may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for illegal or unauthorized purposes
• Violate applicable laws or regulations
• Infringe upon the rights of others
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to the platform or its infrastructure
• Interfere with, disrupt, or overload the Services
• Use automated tools to scrape or extract data
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to build or assist a competing product

VistaDeep may investigate violations and take action, including termination.

5. Intellectual Property

The Services and all related intellectual property—including algorithms, AI models (including Morvela™), software, documentation, methodologies, designs, trademarks, and data structures—are owned by VistaDeep or its licensors.

Nothing in these Terms transfers ownership of VistaDeep's intellectual property.

5.1 Prohibited Activities

You are strictly prohibited from:

• Reverse Engineering — Attempting to derive source code, algorithms, models, or underlying ideas of the Services.
• Disclosure — Sharing proprietary information, documentation, methodologies, or technical details of the Services with third parties.
• Redistribution — Selling, renting, sublicensing, or making the Services available to others without written authorization.
• Modification — Creating derivative works or altering any part of the Services.
• Competitive Use — Using any part of the Services to build or assist a competing product or service.
• Removal of Notices — Removing or altering proprietary notices or labels.

5.2 Confidential Information

You acknowledge that the Services contain confidential and proprietary information, including but not limited to:

• AI models and reasoning architectures (including Morvela™)
• Algorithms and risk propagation logic
• Data processing pipelines
• Technical specifications, system architectures, and documentation
• Business processes and methodologies

You agree to:

• Maintain confidentiality
• Protect such information from unauthorized use or disclosure
• Not disclose such information without VistaDeep's written permission

5.3 Limited License

VistaDeep grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes.

This license does not permit you to:

• Resell or sublicense the Services
• Provide access to third parties
• Use the Services for time-sharing or service bureau purposes
• Scrape or extract data for external use
• Export any data or models outside permitted workflows

VistaDeep reserves all rights not expressly granted.

5.4 Enforcement

Unauthorized use of the Services may result in immediate termination, legal action, and liability for damages.

6. Customer Data and User Content

6.1 Ownership

You retain all rights to any data, files, content, or inputs you submit ("Customer Data").

VistaDeep does not claim ownership of Customer Data.

6.2 Data Use

By using the Services, you grant VistaDeep a license to:

• Store, process, analyze, and transmit Customer Data
• Generate derived data (graphs, risk scores, signals, predictions, etc.)
• Use Customer Data only to provide, maintain, secure, and improve the Services

VistaDeep does not use Customer Data to train foundation models or any models shared across customers.

Derived analytics remain part of the VistaDeep platform, but Customer Data is never shared.

6.3 Data Isolation

VistaDeep maintains strict data separation between customers.

Your data will never be used to benefit another customer unless:

• Explicitly authorized
• Aggregated and anonymized beyond re-identification

6.4 Data Export & Deletion

You may request data export or deletion at any time, subject to reasonable processing windows.

Deleted data may persist in backups for a limited period.

7. Third-Party Integrations and Data Sources

VistaDeep may integrate with external systems and datasets (e.g., ERP systems, logistics data, partner APIs).

VistaDeep is not responsible for:

• Accuracy, completeness, or timeliness of third-party data
• Interruptions or discontinuation of third-party services
• Changes in upstream data quality

Use of third-party integrations is at your discretion.

8. Beta Features

VistaDeep may offer experimental or beta features.

Beta features:

• Are provided "as is"
• May be changed or removed at any time
• Are not guaranteed to function reliably
• Use is at your own risk.

9. Service Availability

VistaDeep aims for high availability but does not guarantee uninterrupted access.

Service interruptions may occur due to:

• Maintenance
• System upgrades
• Outages of third-party providers
• Security incidents

VistaDeep is not liable for downtime or resulting damages.

10. AI Output Disclaimer

AI-generated results—including recommendations, predictions, analysis, risk propagation, or impact assessments—are advisory only.

VistaDeep does not guarantee:

• Accuracy
• Completeness
• Performance
• Suitability for your intended use

You remain responsible for all operational and business decisions made using the Services.

11. Limitation of Liability

To the fullest extent permitted by law, VistaDeep will not be liable for:

• Indirect, incidental, or consequential damages
• Lost profits or revenue
• Loss of data or business interruption
• Errors in AI-generated outputs
• Decisions made based on the Services

Total liability is limited to the fees paid in the previous 12 months.

12. Indemnification

You agree to indemnify and hold VistaDeep harmless from claims, damages, losses, and expenses arising from:

• Your use of the Services
• Violation of these Terms
• Infringement of third-party rights

13. Termination

VistaDeep may suspend or terminate access for:

• Violations of these Terms
• Security threats
• Misuse of Services

Upon termination:

• Your license to use the Services ends immediately
• You may request export of your data

14. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict of law provisions.

15. Changes to Terms

VistaDeep may update these Terms at any time.

Material changes will be communicated via the website or email.

Continued use of the Services constitutes acceptance of the updated Terms.
